1. Agreement to Terms

3. Engagement and Scope

All service engagements will be governed by a separate Statement of Work (SOW) or Service Agreement that will define the specific scope, deliverables, timelines, and fees for each project. These Terms of Service apply to all engagements unless explicitly stated otherwise in the SOW.

4. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate and complete information as requested
• Grant necessary access to systems, data, and personnel
• Designate a project champion or point of contact
• Provide timely feedback and approvals
• Ensure compliance with applicable laws and regulations

5. Intellectual Property

Client Data

You retain all rights to your data, content, and pre-existing intellectual property. You grant us a limited license to use such materials solely for the purpose of providing our services.

Deliverables

Unless otherwise specified in the SOW, upon full payment, you will own all custom deliverables created specifically for your engagement. We retain ownership of our pre-existing tools, methodologies, frameworks, and general know-how.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the engagement. This obligation survives the termination of any agreement and extends for a period of three (3) years thereafter.

7. Payment Terms

Payment terms will be specified in the applicable SOW or Service Agreement. Unless otherwise stated:

• Invoices are due within thirty (30) days of receipt
• Late payments may incur interest at 1.5% per month
• All fees are non-refundable unless otherwise agreed

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not guarantee specific business outcomes, ROI, or results from AI implementations.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALEFINITI AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from or related to our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim.

10. Termination

Either party may terminate an engagement with thirty (30) days written notice. Upon termination, you will pay for all services rendered through the termination date. Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination.

11. Indemnification

You agree to indemnify and hold harmless Scalefiniti AI and its principals, employees, and contractors from any claims, damages, or expenses arising from your breach of these terms or misuse of our deliverables.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through good faith negotiation, and if necessary, binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
